1. Introduction

These Terms of Service ("Terms") govern your access to and use of WISK, a business command centre platform operated by [OPERATOR NAME] ("WISK," "we," "us," or "our"), including our website at wiskapp.com, our application at app.wiskapp.com, and any related services (together, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using WISK on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.


2. Eligibility

You must be at least 18 years old to use WISK. By creating an account, you confirm that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement; and
  • All information you provide to us is accurate and truthful.

3. Your account

3.1 Account creation

To use WISK, you must create an account by providing your name, email address, and a password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Account security

You must notify us immediately at hello@wiskapp.com if you become aware of any unauthorised use of your account or any other breach of security.

3.3 Accuracy of information

You agree to provide accurate, current, and complete information during registration and to keep this information up to date.


4. Acceptable use

You agree to use WISK only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates any applicable law or regulation;
  • Use the Service to store, transmit, or process unlawful content, including content that infringes the intellectual property rights of others;
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems;
  • Interfere with, disrupt, or place undue burden on the Service or the networks connected to it (including attempts to overload, spam, or attack our infrastructure);
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
  • Use any automated means (bots, scrapers, etc.) to access the Service without our prior written consent;
  • Use the Service to harass, abuse, or harm another person;
  • Misrepresent your identity or affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that we reasonably believe violate this section.


5. Your content and data

5.1 Ownership

You retain all ownership rights to the content and data you input into WISK, including but not limited to your projects, tasks, goals, leads, content plans, and ideas ("Your Content").

5.2 Licence to us

By using the Service, you grant us a limited, non-exclusive, worldwide licence to host, store, process, and display Your Content solely for the purpose of providing and improving the Service to you. This licence ends when you delete Your Content or close your account, except where retention is required for legal or operational reasons described in our Privacy Policy.

5.3 Your responsibilities

You are solely responsible for Your Content and for ensuring you have the necessary rights to input it into WISK, including any third-party data (such as client or lead information) that you store within the Service. You are responsible for complying with applicable data protection laws in relation to any personal data of third parties that you process using WISK.

5.4 AI-generated content

Where you use AI-powered features ("Winston"), the outputs (such as digests, summaries, or suggestions) are generated based on Your Content and provided for informational purposes only. You should exercise your own judgement before relying on or acting upon any AI-generated output. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.


6. Subscriptions and billing

This section applies to any paid features or subscription packages offered through WISK (collectively, "Paid Plans"). At present, WISK's core features are offered free of charge; this section will become operative as and when Paid Plans are introduced.

6.1 Free and paid tiers

WISK offers a free core tier and may offer additional paid packages that unlock further functionality. The features included in each tier will be described on our pricing page.

6.2 Billing

Where you subscribe to a Paid Plan, you agree to pay the applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (e.g. monthly) unless otherwise stated, via our third-party payment processor.

6.3 Changes to pricing

We may change the pricing of Paid Plans from time to time. We will provide reasonable notice of any price changes before they take effect for existing subscribers.

6.4 Cancellation

You may cancel a Paid Plan at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that time. We do not provide refunds for partial billing periods except where required by law.

6.5 Failed payments

If a payment fails, we may suspend access to the relevant Paid Plan features until payment is successfully processed.


7. Service availability and changes

7.1 Availability

We aim to keep WISK available and operational at all times, but we do not guarantee uninterrupted access. The Service may be unavailable from time to time due to maintenance, updates, or factors outside our reasonable control.

7.2 Changes to the Service

We may add, modify, or remove features of the Service at any time. Where a change materially reduces functionality you rely on as part of a Paid Plan, we will provide reasonable notice where practicable.

7.3 Beta and early access features

From time to time, we may make experimental or early-access features available. Such features are provided "as is," may be modified or withdrawn at any time, and may be subject to additional terms.


8. Third-party integrations

WISK allows you to optionally connect third-party services (such as Vercel, GitHub, or — for applicable plans — email providers). Your use of these integrations is subject to the terms and privacy policies of those third-party providers, in addition to these Terms. We are not responsible for the availability, accuracy, or practices of third-party services.


9. Intellectual property

The Service, including its design, branding, software, and underlying technology (excluding Your Content), is owned by or licensed to [OPERATOR NAME] and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the Service as intended.


10. Termination

10.1 By you

You may stop using the Service and delete your account at any time via your account settings or by contacting hello@wiskapp.com.

10.2 By us

We may suspend or terminate your access to the Service, with or without notice, if:

  • You breach these Terms;
  • We reasonably believe your use of the Service poses a security, legal, or reputational risk to WISK or other users;
  • We are required to do so by law; or
  • We decide to discontinue the Service, in which case we will provide reasonable notice where possible.

10.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. We will handle any retained data in accordance with our Privacy Policy.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF ANY CRITICAL BUSINESS DATA. WHILE WE TAKE REASONABLE STEPS TO PROTECT AND BACK UP DATA STORED WITHIN WISK, WE DO NOT GUARANTEE AGAINST DATA LOSS.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.


12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [OPERATOR NAME] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) £50.

This limitation applies to the fullest extent permitted by law and does not affect any statutory rights you may have as a consumer that cannot be excluded.


13. Indemnity

You agree to indemnify and hold harmless [OPERATOR NAME] from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) Your Content; (b) your breach of these Terms; or (c) your violation of any applicable law or the rights of a third party.


14. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the UK, you may also be entitled to bring proceedings in the courts of the part of the UK in which you live, and nothing in this section affects your statutory rights.


15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notice before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.


16. General

16.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 No waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, as described in our Privacy Policy.
